MEMORANDUM OF UNDERSTANDING

between

ROK Army Air Defense School

and

FineVT E/W & Security LAB

The ROK Army Air Defense School and FineVT E/W & Security LAB (hereinafter referred to as the “Parties”), recognizing the importance of mutual cooperation and technical exchange related to Counter-UAS and with the objective of enhancing their capabilities to respond to future threats, hereby enter into this Memorandum of Understanding (hereinafter referred to as the “MOU”) based on mutual trust and cooperation.

Article 1. Purpose

The purpose of this MOU is to promote the development of the Counter-UAS field by establishing a mutual understanding of cooperation between the Parties and defining the necessary matters for the effective implementation of such cooperation.

Article 2. Basic Principles

The Parties shall faithfully implement the provisions of this MOU in accordance with the principles of mutual trust and good faith and within the scope of applicable laws, regulations, budgets, and their respective capabilities.

Article 3. Areas of Cooperation

To effectively achieve the objectives of this MOU, the Parties shall actively support and cooperate with each other in the following areas. Specific implementation matters shall be determined through mutual consultation:

Exchange of research and technical information related to Counter-UAS and Air Defense;
Mutual cooperation for the development of future Counter-UAS capabilities, reflecting the characteristics and requirements of the ROK Army;
Mutual exchange and cooperation to support the development of Counter-UAS weapon systems;
Information sharing and mutual cooperation through seminars, education and training programs, and personnel/resource exchanges; and
Active cooperation and support in other areas mutually recognized as necessary for the development of both Parties.

Article 4. Effectiveness and Term

This MOU shall become effective on the date on which it is signed by the duly authorized representatives of both Parties.

The term of this MOU shall be two (2) years from the date of execution.

Article 5. Extension and Termination

If either Party wishes to extend this MOU, it shall notify the other Party of its intention to extend the MOU no later than one (1) month prior to its expiration.

Unless either Party provides written notice of termination, this MOU shall be automatically extended for an additional term under the same conditions.

Article 6. Coordination of Cooperation

Any additional matters necessary for cooperation between the Parties shall be determined separately through consultation between the designated working-level points of contact of both Parties.

Article 7. Establishment and Operation of a Working-Level Council

Where necessary, the Parties may establish a working-level council to implement the areas of cooperation specified in Article 3.

Detailed matters concerning its organization and operation may be separately determined through mutual consultation.

Article 8. Confidentiality and Protection of Personal Information

The Parties shall not disclose to any third party, without the prior consent of the other Party, any personal information, materials, or confidential information obtained or provided in connection with this MOU and its implementation. Such information shall be used solely for the purposes of this MOU.
The obligations concerning confidentiality and the protection of personal information shall survive the expiration, termination, cancellation, or other conclusion of this MOU.

Article 9. Dispute Resolution

Any dispute arising from the interpretation or implementation of this MOU shall be resolved amicably through mutual consultation between the Parties.

Article 10. Miscellaneous

This MOU is intended to promote mutual cooperation and, except for the obligations stipulated in Article 8, shall not legally bind either Party or impose legal obligations upon either Party.
Any matters not specified in this MOU shall be determined through mutual consultation between the Parties.

This MOU is executed in two (2) original copies as evidence of the Parties’ agreement. Each Party shall sign the MOU and retain one original copy.
